Transfer of tax domicile of a company to Malta

Transfer your company to Malta, the most tax favorable status in Europe

Our offices, through our experienced partners in Malta, undertake the establishment, representation and provision of tax and accounting services, in the context of meeting the needs of businesses. The favorable economic, fiscal and organizational environment that has been created in Malta is the best within the countries of the European Union and is the means of profitability and freedom from bureaucracy.

Malta, officially the Republic of Malta, is a small and densely populated island nation consisting of an archipelago of seven islands located in the middle of the Mediterranean Sea. Malta is just south of Sicily, east of Tunisia and north of Libya. The first official language is Maltese and the second is English. Malta has been a member of the European Union since 2004 and is the smallest country in the Union both in terms of population (542,051 inhabitants according to an official estimate for 2022) and area (316 sq km).

Today, the main sources of Malta's economy are limestone, its good geographical location and its productive human potential. Malta produces only 20% of its food needs, has scarce drinking water supplies and no energy sources of its own. The economy depends on international trade (as a shipping station), industry (especially electronics and textiles) and tourism. The tourist infrastructure has improved dramatically in recent years and there are many good hotels on the island. The Government of Malta entered the Exchange Rate Mechanism in May 2005 and adopted the Euro as its currency on 1 January 2008, replacing the then existing Maltese Pound.

The Companies Continuance Regulations (L.L. 344. 2002) enable a company incorporated under the laws of an approved country or jurisdiction other than Malta which is similar in nature to the types of company as known under the laws of Malta , to apply to be registered as a going concern in Malta under the local Companies Laws. All that is required is that the company moves to Malta in which case it will be considered a continuation of the previous entity.

The advantages of this move are that the company may wish to take advantage of more favorable tax laws, less stringent tax regulation or simply access to certain markets. In particular the advantages include:

• no tax impact on inbound immigration • no increase in the tax base of the assets • access to Malta's tax refund system • access to Malta's opt-out regime • access to Malta's double taxation agreement network • access to EU Directives • the possibility of falling outside the scope of CFC legislation • the possibility that they fall outside the scope of the anti-tax haven rules • the ability to migrate out of the country to another jurisdiction • there are no exit taxes in Malta (for outbound immigration).

More advantages:

• The establishment of a company in Malta is usually completed in 2-3 working days from the submission of the application.

• Documents are required, a document proving the identity (identity/passport) of the shareholders and any other executives (if a different person is chosen) as well as a document proving the address of permanent residence (e.g. utility bill , mobile phone etc.) • It is not necessary to close or liquidate the existing business, since the same business can be moved to Malta

• No presence in Malta is required, except at least once a year for the board meeting

• Fixed taxation for over 10 years

• The main tax rate in Malta on business profits is 35%. However, the Maltese government, in order to attract investment, returns 6/7 of the tax paid by the company (30% out of 35%), to its shareholders, as long as they are not Maltese tax residents. So the effective tax rate in Malta is the lowest in Europe, just 5%

• Malta does not impose tax on dividend distributions.

• Managers and shareholders do not have to be insured and pay insurance premiums if they do not wish to do so

• very stable political-economic system, stable banking system.

The services we provide are:
